# The annual report of an Estonian OÜ: who files it, when and how

An Estonian OÜ files its annual report within six months of the year end, 30 June for most. Who prepares, signs, approves and files it, and late fines.

Law as of 30 Sept 2026. General information, not advice for your situation.

[Part of the guide: The annual report and the audit of an Estonian OÜ](https://oscaraccountant.com/en/guides/annual-report-and-audit)

Every Estonian private limited company (OÜ) files an annual report (majandusaasta aruanne) with the Business Register once a year. The report is due even when the company had no activity, and the law gives no extension on request. This page explains when it is due, who prepares, signs and approves it, and how it is filed. The wider topic, including the audit, is in the guide [The annual report and the audit](https://oscaraccountant.com/en/guides/annual-report-and-audit).

**In short**

- Due within six months after the financial year ends: 30 June for a calendar-year company.
- A new company may have a first financial year of up to 18 months, which moves its first report later.
- The management board prepares and approves the report, and one board member signs it.
- The shareholders then approve it, and the board files it in the e-Business Register.
- A late report can bring repeated fines and, in the end, deletion of the company.

## When is the annual report due?

The board files the approved report with the register within six months after the end of the financial year ([Commercial Code § 179(4)](https://www.riigiteataja.ee/en/akt/527022024004#para179)). The financial year is the calendar year unless the articles of association say otherwise ([Accounting Act § 13(3)](https://www.riigiteataja.ee/en/akt/510072025005#para13)). So for most companies the report is due on 30 June of the following year.

The [tax calendar](https://oscaraccountant.com/en/tools/tax-calendar) shows this date next to your monthly tax deadlines.

## What if the financial year is not the calendar year?

You count six months from your own year end ([Commercial Code § 179(4)](https://www.riigiteataja.ee/en/akt/527022024004#para179)). A company whose articles set the year from 1 April to 31 March files by 30 September.

To change the financial year, you amend the articles of association, which needs two thirds of the votes ([Commercial Code § 175(1)](https://www.riigiteataja.ee/en/akt/527022024004#para175)). The transitional year may be shorter or longer than 12 months, but never more than 18 months ([Accounting Act § 13(2)](https://www.riigiteataja.ee/en/akt/510072025005#para13)).

## When is the first annual report of a new company due?

Six months after the first financial year ends. When a company is founded, its first year may be shorter or longer than 12 months, but not more than 18 months ([Accounting Act § 13(2)](https://www.riigiteataja.ee/en/akt/510072025005#para13)). Two examples for a calendar-year company:

- **Founded on 10.09.2025:** the first year can end on 31.12.2025, with the report due on 30.06.2026. Or it can run to 31.12.2026, which is under 18 months, with the report due on 30.06.2027.
- **Founded on 15.03.2025:** a year to 31.12.2026 would pass 18 months. So the first year ends on 31.12.2025, and the report is due on 30.06.2026.

Choose a long first year on purpose and record the choice in the articles of association or another document that regulates the company ([Accounting Act § 13(3)](https://www.riigiteataja.ee/en/akt/510072025005#para13)). The first report shows the opening balance sheet as its comparative figures, and no comparative figures in the income statement ([Accounting Act § 26(1) and (2)](https://www.riigiteataja.ee/en/akt/510072025005#para26)).

## What goes into the annual report?

The report is the annual accounts and a management report ([Accounting Act § 14(1)](https://www.riigiteataja.ee/en/akt/510072025005#para14)). A micro or small company that follows the Estonian financial reporting standard may file abbreviated accounts: at least a balance sheet, an income statement and notes ([Accounting Act § 15(2^1)](https://www.riigiteataja.ee/en/akt/510072025005#para15)). A micro company on that standard may leave out the management report ([Accounting Act § 14(1^1)](https://www.riigiteataja.ee/en/akt/510072025005#para14)).

A company is micro when two of these three figures stay within the limits: total assets of 450,000 euros, income of 900,000 euros, and 10 staff on average ([Accounting Act § 3, clause 14](https://www.riigiteataja.ee/en/akt/510072025005#para3)). The other classes are in the [topic guide](https://oscaraccountant.com/en/guides/annual-report-and-audit#is-my-company-micro-small-or-medium).

The board files these together with the report ([Commercial Code § 179(4)](https://www.riigiteataja.ee/en/akt/527022024004#para179)):

- the proposal to distribute the profit or cover the loss;
- when there is a loss, a notice of how the shareholders decided to cover it;
- the sales revenue, split by up to ten main areas of activity ([Commercial Code § 179(6)](https://www.riigiteataja.ee/en/akt/527022024004#para179));
- the sworn auditor's report, when an audit or a review is compulsory;
- a new list of shareholders, when their data has changed since the last report.

## Who prepares, signs and approves it?

The work has three steps:

1. **The board prepares and approves the report.** The management board prepares the report after the year end ([Commercial Code § 179(1)](https://www.riigiteataja.ee/en/akt/527022024004#para179)). The date the board approves it is the date of completion. Right after that, at least one board member signs it with that date ([Accounting Act § 25(3)](https://www.riigiteataja.ee/en/akt/510072025005#para25)).
2. **The shareholders approve it.** The board presents the report and the profit proposal to the shareholders ([Commercial Code § 179(2)](https://www.riigiteataja.ee/en/akt/527022024004#para179)), and the shareholders decide on its approval ([Commercial Code § 179(3)](https://www.riigiteataja.ee/en/akt/527022024004#para179)). A sole shareholder signs a written resolution with the date ([Commercial Code § 173(6)](https://www.riigiteataja.ee/en/akt/527022024004#para173)). In a written vote without a meeting, a shareholder who does not answer in time counts as a vote against ([Commercial Code § 173(2)](https://www.riigiteataja.ee/en/akt/527022024004#para173)).
3. **The board files it.** If the shareholders do not approve the report, the board still files it by the deadline, marked as not approved ([Commercial Code § 179(4)](https://www.riigiteataja.ee/en/akt/527022024004#para179)).

If the OÜ has no board members and no supervisory board, the majority or sole shareholder must file ([Commercial Code § 179(4^3)](https://www.riigiteataja.ee/en/akt/527022024004#para179)).

## How do you file it?

You prepare and file the report in the e-Business Register (the company registration portal) ([RIK: Annual report](https://www.rik.ee/en/e-business-register/annual-report)). The report is prepared in Estonian ([Accounting Act § 25(1)](https://www.riigiteataja.ee/en/akt/510072025005#para25)).

- **No separate digital signature:** a report prepared, approved and filed in the portal by persons identified in a secure way needs no digital signature. This does not apply to an audited report ([Accounting Act § 25(4)](https://www.riigiteataja.ee/en/akt/510072025005#para25)).
- **Your confirmation:** by filing, the board members confirm that the report is correct and complete ([Accounting Act § 25(2)](https://www.riigiteataja.ee/en/akt/510072025005#para25)).
- **A board member abroad:** the portal accepts an Estonian ID card, an e-Residency card, Mobile-ID and Smart-ID. Without any of these, a board member can sign a printout on paper, and the scan is uploaded ([RIK help, in Estonian](https://abiinfo.rik.ee/majandusaasta-aruannete-esitamine/13-voimalused-valismaalastele)).
- **Your accountant:** a board member can appoint the accountant as a data entry person in the portal and give them the right to submit the report ([RIK help, in Estonian](https://abiinfo.rik.ee/majandusaasta-aruannete-esitamine/2-sisestaja-maaramine-ja-eemaldamine)). The accountant prepares and submits it, but a board member signs ([Accounting Act § 25(3)](https://www.riigiteataja.ee/en/akt/510072025005#para25)).

Give your accountant access early. Check also that the board member who signs is still in office on the register card.

## What if you file late?

A report filed a few days late is still late. After the deadline, the registrar may fine the company without a warning first, and may repeat the fine until the report is filed ([Commercial Register Act § 57(1)](https://www.riigiteataja.ee/en/akt/518032025010#para57)). Each fine can be up to 3,200 euros ([Code of Civil Procedure § 46(1), in Estonian](https://www.riigiteataja.ee/akt/120062026021#para46)). The registrar may also fine the persons who must file ([Commercial Register Act § 57(3)](https://www.riigiteataja.ee/en/akt/518032025010#para57)).

If the report is still missing after a deadline set with a deletion warning, and at least three months after the legal due date, the registrar may delete the company from the register ([Commercial Register Act § 61](https://www.riigiteataja.ee/en/akt/518032025010#para61)). The [topic guide](https://oscaraccountant.com/en/guides/annual-report-and-audit#what-happens-if-the-annual-report-is-late) explains compulsory dissolution and how a deleted company returns to the register.

Most delays come from missing invoices and bank statements. Collect them in spring; see [bookkeeping and source documents](https://oscaraccountant.com/en/guides/bookkeeping-source-documents).
